Sepia Biosciences Shipping Policy
Effective Date: March 28, 2026
Last Updated: March 28, 2026
This Shipping Policy applies to purchases made from Sepia Biosciences LLC and its affiliates, including Sepia Biosciences Taiwan Co., Ltd. (each, a “Sepia Entity” and, collectively, “Sepia”). This Shipping Policy is subject to the Sepia Biosciences Terms of Service and Sale. In the event of any conflict between this Shipping Policy and the Terms of Service and Sale, the Terms of Service and Sale control.
1. General Shipping Terms
Shipping and delivery dates are estimates only and are not guaranteed. Sepia may make partial shipments and may ship orders in multiple packages.
Whether shipping and handling are included in the price for a particular order will be as stated in the applicable quotation, order confirmation, or checkout.
Unless otherwise stated by Sepia in the applicable quotation, order confirmation, or checkout, title and risk of loss pass to you when Sepia delivers the products to the carrier, subject to Sepia’s right to retain a security interest until full payment is received if permitted by law.
2. Order Processing
Sepia will use commercially reasonable efforts to process and ship orders after order acceptance and payment clearance, as applicable. Processing times may vary based on product availability, order volume, temperature-control requirements, destination, carrier schedules, holidays, customs clearance, compliance screening, and other operational factors.
Sepia may delay, hold, or split shipments for inventory, payment, screening, compliance, biosafety, biosecurity, export-control, customs, weather, or other operational reasons.
3. Shipping Addresses and Delivery Information
You are responsible for providing complete and accurate shipping information, including recipient name, delivery address, contact information, and any required delivery instructions.
Sepia is not responsible for delays, failed delivery, losses, or additional costs resulting from inaccurate, incomplete, or outdated shipping information, recipient unavailability, refusal of delivery, or failure to follow carrier instructions.
If a shipment is returned to Sepia because of address error, delivery refusal, failed delivery attempts, recipient unavailability, import or customs issues, or other circumstances not caused by Sepia, Sepia may, in its discretion, charge additional shipping, handling, storage, return, reshipment, or disposal costs before reshipping or otherwise resolving the order.
4. Temperature-Sensitive and Research Materials
Many Sepia products are research-use-only materials and may be temperature-sensitive, perishable, hazardous, or otherwise subject to special handling requirements.
Sepia may ship temperature-sensitive products using cold packs, dry ice, insulated packaging, or other controlled-temperature packaging selected by Sepia in its discretion based on the product, destination, transit time, and other operational factors.
You are responsible for promptly receiving, inspecting, unpacking, and storing shipments in accordance with Sepia’s instructions, product labeling, and any included documentation. Temperature-sensitive shipments should be opened promptly upon delivery, and products should be transferred without delay to the applicable recommended storage conditions.
Sepia is not responsible for product degradation, loss, or nonconformity resulting from delays occurring after delivery to the carrier, recipient delay in receipt or unpacking, improper storage, temperature excursions occurring after delivery, depletion of cold packs or dry ice in transit consistent with expected shipment duration, or handling contrary to Sepia’s instructions, except to the extent otherwise required by applicable law or expressly agreed by Sepia in writing.
5. International Shipments
For international shipments, you are responsible for import clearance, permits, licenses, brokerage, duties, tariffs, taxes, customs fees, destination-country compliance, and any other governmental charges or documentation requirements unless Sepia expressly agrees otherwise in writing.
International shipments may be delayed by customs, inspections, carrier limitations, regulatory review, import restrictions, or local delivery conditions. Sepia is not responsible for such delays or for losses arising from your failure to satisfy destination-country requirements.
6. Inspection on Receipt
You must inspect all shipments promptly upon receipt.
You must notify Sepia in writing within ten (10) days after delivery of any visible damage, shipment error, or quantity shortage. Failure to provide timely notice constitutes acceptance of the shipment as delivered, except for hidden defects covered by the limited warranty in the Terms of Service and Sale.
7. Carrier Issues; Delays; Lost Shipments
Once Sepia delivers a shipment to the carrier, carrier transit times, routing, and final delivery are outside Sepia’s direct control.
If a shipment is materially delayed, appears lost in transit, or is delivered damaged, Sepia may, in its discretion, assist with reasonable carrier claims, shipment tracing, or other resolution steps. Any replacement, credit, or refund remains subject to the Terms of Service and Sale and Sepia’s Return and Refund Policy.
8. Restricted Destinations and Compliance Holds
Sepia may restrict shipping destinations, customers, end users, or products, and may refuse, suspend, or cancel any shipment or order where required or permitted by law or where Sepia determines that shipment could present export-control, sanctions, biosafety, biosecurity, customs, misuse, or other legal, compliance, safety, reputational, or commercial concerns.
